1. General Information

These Terms of Service ("Terms") govern the use of www.bysys.it (the "Site") and the provision of services offered by BySys ("Provider", "we", "our").

By using the Site or requesting our services, the user ("Client", "you", "your") fully accepts these Terms.

2. Services Offered

BySys provides the following professional services:

• Web Development: Websites, landing pages, e-commerce platforms, custom portals
• Software Development: Custom applications, business management systems, bespoke software
• Graphic Design: Logo, branding, UI/UX design, graphic material
• IT Consulting: Strategic consulting, technical analysis, system optimisation
• Web-App & App Sales: Ready-to-use or customisable software solutions

The specific details of each service, including timelines, costs and delivery methods, will be defined in a separate quote/contract.

3. Requests and Quotes

3.1 Quote Request

The Client can request a free quote via:

• Contact form on the Site
• Email: info@bysys.it
• Other communication channels indicated on the Site

3.2 Quote Acceptance

The quote sent by BySys is valid for 30 days from the date of issue, unless otherwise stated.

Acceptance of the quote by the Client constitutes a binding agreement. The Client may accept via:

• Digital or physical signature of the document
• Explicit email confirmation
• Payment of the deposit (if applicable)

4. Payment Terms

4.1 Payment Methods

Payments can be made via:

• Bank transfer
• PayPal
• Other methods agreed in writing

4.2 Payment Schedule

Unless otherwise agreed, the following conditions apply:

• Deposit: 35% upon acceptance of the quote
• Balance: Balance upon final delivery of the project

For long-term projects, instalment payments may be agreed based on milestones reached.

4.3 Late Payments

In the event of payment delays exceeding 15 days, BySys reserves the right to:

• Suspend service delivery
• Apply late payment interest as provided by law
• Terminate the contract with applicable penalties

5. Delivery Times

Delivery times are indicative and will be specified in the quote. BySys commits to respecting agreed deadlines, except for:

• Delays attributable to the Client (failure to provide materials, late feedback, substantial changes)
• Force majeure events (technical failures, emergencies, acts of God)

In the event of delays attributable to BySys exceeding 30 days from the agreed date, the Client may request a 10% discount on the final price.

6. Revisions and Changes

6.1 Included Revisions

Each project includes a number of revisions specified in the quote (generally 2–3 rounds of changes).

6.2 Substantial Changes

Requests for substantial changes to the original project (e.g. technology change, addition of unforeseen features, complete design overhaul) will result in:

• A new supplementary quote
• Possible extension of delivery times

The Client will always be informed in advance and no substantial change will be started without written approval.

7. Intellectual Property

7.1 Final Delivery

Upon receipt of the final balance, all intellectual property rights related to the commissioned work are transferred to the Client, unless otherwise agreed.

7.2 Pre-existing Materials

The following remain the property of BySys:

• Proprietary frameworks, libraries and development tools
• Reusable templates and components
• Generic code not specifically developed for the Client

7.3 Portfolio and Promotional Use

BySys reserves the right to include the completed project in its public portfolio, unless a separate confidentiality agreement has been signed.

8. Warranty and Support

8.1 Post-delivery Warranty

BySys guarantees the correct functioning of the delivered work for 60 days from the final delivery date. During this period, any bugs or malfunctions will be corrected free of charge within a reasonable time.

8.2 Maintenance and Support

After the warranty period, any modifications, updates or technical support will be subject to a separate quote, unless otherwise agreed.

8.3 Warranty Exclusions

The warranty does not cover:

• Issues caused by changes made by the Client or third parties
• Malfunctions due to hosting/servers not provided by BySys
• Damage caused by improper use or negligence

9. Liability

9.1 Limitation of Liability

BySys shall not be liable for:

• Loss of profit, data or business opportunities
• Indirect, incidental or consequential damages
• Malfunctions due to external factors (hosting, third-party providers, cyber attacks)

In any case, the maximum liability of BySys is limited to the amount paid by the Client for the specific service.

9.2 Client Responsibilities

The Client is responsible for:

• Providing materials, content and feedback within the agreed timelines
• Ensuring they hold the rights to all provided materials (texts, images, logos)
• Using the delivered work in compliance with applicable laws

10. Early Termination

10.1 Termination by the Client

The Client may terminate the project at any time, with an obligation to pay for:

• Work already carried out up to the date of termination
• Any costs incurred by BySys (licences, external services)

10.2 Termination by BySys

BySys may terminate the contract in the event of:

• Non-payment beyond the agreed terms
• Inappropriate or uncooperative behaviour by the Client
• Requests that are impossible to fulfil or not compliant with the law

11. Confidentiality

BySys commits to keeping confidential all information received from the Client during the execution of the service.

The Client commits to not disclosing methodologies, source codes or confidential technical information provided by BySys.

12. Governing Law and Jurisdiction

These Terms are governed by Italian law.

For any dispute, the exclusively competent court will be the Court of Campobasso (CB), Italy.

13. Changes to these Terms

BySys reserves the right to modify these Terms at any time. Changes will be published on the Site with the date of update. We recommend checking this page periodically.
